E-invoicing: Sector-specific considerations for associations

Whether e-invoicing applies to your organisation depends on the sector in which it operates. Non-profit organisations are excluded, but commercial enterprises are not.

Introduction

Associations often wonder whether the e-invoicing requirement applies to them at all – after all, many are non-profit organisations. The answer depends on their area of activity, and we’ll help you determine which category your association falls into.

A clarification first: when it comes to e-invoicing, what matters is whether your association carries out commercial activities. The Federal Ministry of Finance makes it clear that associations are also affected insofar as they act in a commercial capacity.

Associations operate in several areas, often referred to as ‘spheres’. It is precisely this distinction that determines whether the e-invoicing requirement applies.

This article explains the spheres of association activity, classifies e-invoicing according to these areas, and demonstrates that the obligation to accept e-invoices also applies to associations.

The spheres of association activity

An association may operate in various areas, each of which is treated differently for tax purposes. For the purposes of e-invoicing, the key question is whether an area constitutes a commercial activity.

  • Non-commercial sphere: membership fees, donations, grants and activities carried out strictly in accordance with the association’s articles of association without any consideration in return. This sphere is not commercial in nature and is exempt from the e-invoicing obligation.
  • Asset management: for example, the letting of property. Transactions subject to VAT may arise here.
  • Activities in pursuit of the association’s statutory purpose: Activities that directly serve the tax-privileged purpose set out in the articles of association. Here too, transactions subject to VAT may arise.
  • Commercial business operations: catering within the association, the sale of goods, sponsorship involving consideration, advertising or letting to external parties. This area is commercial in nature and is, in principle, subject to the e-invoicing requirement.

When is the club affected?

The decisive factor is whether the association acts as a trader within the meaning of VAT law. This is the case as soon as it provides services for consideration on a sustained basis.

If your club operates exclusively in the non-commercial sector, there is no obligation to issue e-invoices. If, on the other hand, it provides services as part of its commercial operations – or carries out transactions subject to VAT within a special-purpose operation or asset management – the rules on e-invoicing apply.

For example: if the local butcher’s pays the club 300 euros to have its logo displayed at the side of the pitch, this constitutes sponsorship in return for consideration. In this instance, the club acts as an advertising agency and is therefore a trader. An invoice to this sponsor – a business – is subject to the e-invoicing requirement as soon as that obligation applies.

The obligation to receive e-invoices also applies to clubs

Issuing invoices is only half the story. As soon as your club engages in commercial activities, it must be able to accept incoming e-invoices.

This obligation to accept e-invoices has been in force since 1 January 2025 and applies even if the club makes use of the small business scheme.

For example, if the drinks supplier sends an e-invoice for the club’s party, you must be able to accept it, ensure it is legible and store it properly.

An email inbox is the minimum requirement for receiving e-invoices; we’ll cover how to receive e-invoices separately:

Transitional provisions and exemptions help with issuing invoices: invoices to private individuals and members, as well as small amounts up to 250 euros, are not affected in any case. If the association makes use of the small business scheme, it is permanently exempt from issuing e-invoices – but the obligation to receive them remains.

Submission to us

For processing, we require the documents from your association’s business operations in their respective original formats – incoming e-invoices as structured files.

The transfer takes place via the method agreed with us, such as DATEV Unternehmen Online or an alternative solution. We will clarify the distinction between the non-profit and commercial areas together and document it in a transparent manner.

Common sources of error

  • Assumption of full exemption: It is often assumed that charitable associations are entirely exempt. In the commercial sector, however, e-invoicing also applies to them.
  • Failure to separate the spheres: Income is not allocated to the correct areas. The distinction between the non-profit and commercial spheres is the deciding factor.
  • Not prepared to receive e-invoices : There is no system in place to receive e-invoices. The obligation to receive e-invoices also applies to small business associations.
  • Sponsorship incorrectly classified: Sponsorship involving consideration is treated as a donation. If consideration is involved, it constitutes a commercial transaction.
  • Only a printout is provided: An incoming e-invoice is printed out and passed on. We require the original structured file.

How we work together

We work with the association to clarify the relevant areas; you handle receipt, and we take care of processing.

Your tasks:

  • Issue e-invoices in the business sector, where required by law
  • Ensure the receipt of e-invoices, at least via an email inbox
  • Forward the documents to us in their original format via the agreed method

Our tasks:

  • Check and document the demarcation of the association’s areas of activity
  • Post the supporting documents and classify them for tax purposes
  • Provide support with questions regarding formats and receipt

We will agree the exact breakdown with you.

Frequently asked questions

Are charitable associations exempt from e-invoicing?

Only in the non-commercial sector. As soon as an association engages in commercial activities – such as running a business – e-invoicing also applies to it.

Which areas are affected?

Commercial business operations, as well as transactions subject to VAT in special-purpose operations or asset management. Purely non-commercial activities are exempt.

Does our association have to be able to receive e-invoices?

Yes, as soon as it carries out commercial activities – even under the small business scheme. The obligation to receive e-invoices has applied since 1 January 2025. An email inbox is the minimum requirement.

Is sponsorship affected?

If the sponsor receives something in return, such as advertising, the association is acting in a commercial capacity. An invoice issued to the sponsor as a business then falls under the e-invoicing requirement.

Do we also have to issue e-invoices?

In the commercial sector, the answer is generally yes, once the transition periods have expired. If the club is covered by the small business scheme, it is permanently exempt from issuing e-invoices; the obligation to receive them remains.

How do we send the documents to you?

In their original format via the agreed method, usually via DATEV Unternehmen online or an upload address. We will clarify the scope of application together. \[Link zu einem Hilfsartikel]
